2.    To receive and consider for voting by special resolution the following motions:

Resolution One: That Rules 2 and 3 of the AIIA NSW constitution be deleted and replaced with the following:


2. Membership qualifications
A person is qualified to be a member of the association if, but only if:
(a)    the person is a person referred to in section 15(1) (a), (b) or (c) of the Act and has not ceased to be a member of the association at any time after incorporation of the association under the Act, or
(b)    the person is a natural person whose application for membership of the association as provided by rule 3 has been accepted (referred to in this Constitution as a “member” or a “Regular Member”).

3. Application for membership
(1)    Subject to clause (3) below, an application for Regular Membership of the association must be made by the completion of an application form, which must be lodged either in writing or electronically, with payment of the application fee. By becoming a member the applicant acknowledges that he or she will abide by the rules of the association.
(2)    As soon as practicable after receiving an application for membership, the membership secretary or the person carrying out the duties of membership secretary must confirm acceptance of membership to the applicant.
(3)    All those individuals of the association who were fully paid up members of the company limited by guarantee bearing the same name as the association for the year ended 30 June 2009 shall be deemed members of the association.


Resolution Two: That Section 8 of the AIIA NSW constitution be deleted and replaced with the following:
 

8. Fees
(1)    Regular Members must pay a fee on admission to membership and an annual fee to renew membership.  The fees will be determined from time to time by the Council.
(2)    The Council may nominate any person for election at the annual general meeting as a “Life Member”.  Regular Members and any existing Life Members (together referred to in these rules as “members”) may approve the admission of a new Life Member by ordinary resolution, voting together. A Life Member is entitled to all the privileges and is subject to all the duties of a Regular Member during his or her life without any further payment annually or otherwise.
(3)    A person who is not a Regular Member or a Life Member may join the association as a Temporary Member for the purpose of attending any event hosted by the association by payment of the fee for that event.  The temporary membership expires at the end of that event.  Temporary Members have no voting rights (either in person or by proxy) at any meeting of the members of the association.

Background to motions:
i)    The proposed rule 3 above is a change to the 2009 Constitution intended to facilitate online application by new members and to move away from a nomination based membership.
ii)    At AIIA NSW’s 2010 AGM it was unanimously resolved that any change made to the 2009 Constitution to create life members rather than honorary members be approved in principle, subject to development of specific terms by the Council, which will be adopted at a Special General Meeting held at a future date before an event.
Council has had developed such specific terms (set out in proposed clause 8.2), and also resolved to change the constitution to enable the creation of temporary members for the period of an event. This change was included in light of advice from our accountant regarding the possible taxation implications of receiving non-mutual income.

Please note:
1.    Article 32 (4) of the Constitution of AIIA NSW provides that: “A member or proxy is not entitled to vote at any General Meeting of the Association unless all money due and payable by the member or proxy to the Association has been paid.”
2.    Each member is entitled to appoint another member as proxy by notice given to the secretary to attend in his or her stead.  The Notice must be given no later than 24 hours before the time of the meeting (Tuesday 28 September 2010 at 6pm) in accordance with the form attached to this Notice of Meeting.
3.    Members are reminded that only one representative of a Corporate or Household membership shall be entitled to vote at any meeting of the Branch.
